These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you” or “your”) and Helili Chat (“we”, “us” or “our”) regarding your access to and use of the Helili Chat mobile application, related websites, services, features, content, and products (collectively, the “Services”).

By accessing, downloading, installing, registering for, or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, please do not access or use our Services.

1. About Helili Chat: Helili Chat is a social entertainment application that provides users with online social interaction and entertainment services, including but not limited to voice chat rooms, messaging, user-generated content sharing, virtual gifting, social relationships, entertainment features, and other related services.; The Services may include features such as:

User registration and account management;
Personal profile creation and display;
Text, image, audio, video, and other content sharing;
Private messaging and social interaction;
Voice rooms and interactive entertainment;
Virtual currency and virtual gifts;
Membership privileges and virtual items;
Mini games and entertainment features;
Ranking systems;
Host/creator and community management functions.

We may update, modify, suspend, or discontinue any part of the Services from time to time.

2. Eligibility: You must meet the minimum age requirement applicable in your country or region to use the Services.; By using Helili Chat, you represent and warrant that:

You have the legal capacity to enter into these Terms;
Your use of the Services complies with applicable laws and regulations;

4. User Conduct Rules: You agree that you will not use the Services to:

Violate any applicable laws or regulations;
Harm, threaten, harass, intimidate, or abuse other users;
Spread hateful, discriminatory, violent, or extremist content;
Publish sexually explicit content or content involving exploitation of minors;
Upload illegal, fraudulent, misleading, or harmful information;
Promote drugs, weapons, gambling, or other prohibited activities;
Infringe any third-party intellectual property, privacy, or other rights;
Conduct unauthorized commercial activities;
Manipulate rankings, rewards, virtual currency, or platform systems through fraudulent means;
Use bots, automated tools, hacks, or unauthorized software to interfere with the Services.

Helili Chat reserves the right to remove violating content and take appropriate measures, including warnings, restrictions, suspension, or termination of accounts.

5. Community Guidelines and Content Moderation: Helili Chat encourages users to create a safe, respectful, and positive community environment.; Users shall not create, upload, distribute, or share content involving:

Hate speech;
Violence or threats;
Terrorist or extremist content;
Child sexual exploitation or abuse material;
Bullying or harassment;
Sexual explicit content;
Illegal activities;
Dangerous products or activities;
Tobacco, alcohol, drugs, or other restricted substances;

Helili Chat may use automated technologies and manual review processes to detect and handle violations.

If content violates these Terms or applicable laws, Helili Chat may:

Remove or restrict access to such content;
Limit account functions;
Suspend or permanently terminate accounts;
Cooperate with competent authorities where required.

6. User Generated Content: The Services allow users to create, upload, publish, or share content, including but not limited to text, images, voice interactions, comments, and other materials (“User Content”).; You retain ownership of your User Content.; However, by submitting User Content through the Services, you grant Helili Chat a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

Host, store, reproduce, distribute, display, perform, and transmit your User Content;
Provide, operate, improve, and promote the Services;
Allow other users to access User Content through platform functions.

You represent and warrant that:

You own or have obtained all necessary rights to your User Content;
Your User Content does not violate any third-party rights;
Your User Content complies with these Terms and applicable laws.

Helili Chat does not endorse any User Content and reserves the right to remove content that violates these Terms.

7. Virtual Currency, Virtual Gifts and Paid Services: Helili Chat may provide virtual currency, virtual gifts, virtual items, membership privileges, or other paid features within the Services.; The virtual currency currently includes:

Diamonds;
Coins.

7.1 Virtual Currency: Virtual currency is a digital service item provided by Helili Chat and does not constitute legal currency, electronic money, or any form of property ownership.; Users may purchase or obtain virtual currency according to the rules provided by Helili Chat.; You acknowledge and agree that:

Virtual currency has no cash value outside the Services;
Virtual currency cannot be exchanged for cash unless required by applicable law;
Virtual currency cannot be transferred, sold, gifted, or traded outside the Services;
Helili Chat owns all rights related to virtual currency.

7.2 Virtual Gifts and Consumption: Users may use virtual currency to purchase virtual gifts, decorative items, membership privileges, entertainment features, or other digital products.; Virtual gifts:

Are only valid within the Services;
Cannot be exchanged for cash;
Cannot be refunded except as required by applicable law.

Users are responsible for confirming their purchase decisions before completing transactions.

7.3 Payment: Payments may be processed through third-party payment platforms, including:

Apple App Store payment services;
Google Play payment services.

Your payment transactions are also subject to the terms and policies of the relevant third-party payment providers.

8. Earnings and Withdrawals: Helili Chat may provide certain features allowing eligible users, including hosts, guild leaders, to earn income through platform activities.; Such income may include:

Virtual gift revenue sharing;
Platform rewards;
Guild-related earnings.

Eligibility, calculation methods, settlement rules, withdrawal requirements, and applicable fees shall be determined according to Helili Chat’s applicable policies.

Helili Chat reserves the right to:

Review earnings activities;
Delay, adjust, suspend, or refuse payment where fraud, abnormal activity, or violations are suspected;
Take necessary measures to protect platform security and users’ interests.

9. Entertainment Features: Helili Chat may provide entertainment features.; Users agree that:

entertainment features are provided for entertainment purposes only;
Users shall not exploit bugs, vulnerabilities, or unauthorized methods;
Users shall comply with applicable entertainment features rules and platform policies.

10. Intellectual Property Rights: All rights, title, and interest in and to the Services, including but not limited to:

Software;
Application design;
Interface;
Logos;
Trademarks;
Platform content;
Technology;
Related intellectual property,

belong to Helili Chat or its licensors.

Unless expressly permitted, you may not:

Copy, modify, distribute, sell, or reproduce any part of the Services;
Reverse engineer, decompile, or attempt to obtain source code;
Use Helili Chat trademarks or materials without authorization;
Exploit the Services for unauthorized commercial purposes.

11. Third-Party Services: The Services may integrate third-party services, including but not limited to:

Google Sign-In;
Apple payment services;
Google Play payment services;

Your use of third-party services may also be subject to the applicable terms and privacy policies of those third parties.

Helili Chat does not control and is not responsible for third-party services.

12. Account Suspension and Termination: Helili Chat may suspend, restrict, or terminate your access to the Services if:

You violate these Terms;
You violate applicable laws;
Your account involves fraud, abuse, or security risks;
Your activities harm other users or the platform;
Required by legal or regulatory authorities.

Upon termination:

Your right to use the Services will immediately end;
Certain provisions of these Terms may continue to apply, including intellectual property, disclaimers, limitation of liability, and dispute resolution provisions.

Helili Chat does not guarantee that the Services will always be uninterrupted, secure, or error-free;
Helili Chat does not guarantee the accuracy or reliability of User Content;
Users are responsible for their own interactions and communications with other users.

Helili Chat is not responsible for losses caused by:

User misconduct;
Third-party services;
Network failures;
Unauthorized account access caused by user negligence;
Events beyond reasonable control.

15. Limitation of Liability: To the maximum extent permitted by applicable law, Helili Chat shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from:

Use or inability to use the Services;
User-generated content;
Third-party actions;
Technical interruptions;
Loss of data or virtual items.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Governing Law and Dispute Resolution: These Terms shall be governed by the applicable laws of the jurisdiction in which the Services are operated, unless otherwise required by applicable law.; Any dispute arising out of or relating to these Terms shall first be resolved through friendly consultation. If the dispute cannot be resolved through consultation, either party may seek remedies before a court or other competent dispute resolution authority with jurisdiction under applicable law.
